These Terms of Service ("Terms") govern your access to and use of the VerifyWise platform, website, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
VerifyWise reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, updating the "Last updated" date above, and notifying active customers via email for significant changes. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
You must be at least 16 years of age or the age of majority in your jurisdiction, whichever is greater, to use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
To access certain features of the Services, you must create an Account. You agree to:
You are responsible for all activity that occurs under your Account, whether or not authorized by you.
VerifyWise provides AI governance, compliance management, and risk assessment services. The platform is primarily deployed on-premises within your own infrastructure.
For on-premises deployments, you are responsible for the infrastructure, availability, and security of the environment in which the Services operate. Provisions in these Terms relating to service availability, uptime, or hosting do not apply to on-premises deployments.
A trial version of the Services with limited features is available through our cloud platform. The trial is intended for evaluation purposes and is subject to the same Terms.
Enterprise subscriptions may be governed by a separate Order Form or Statement of Work, which shall be incorporated into and form part of these Terms. In the event of any conflict between an Order Form and these Terms, the Order Form shall prevail.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with any applicable plan or subscription.

The VerifyWise platform is distributed under the Business Source License 1.1 (BSL 1.1). This license permits you to use, copy, modify, and redistribute the software, including for production use, subject to the Additional Use Grant specified in the license. Each version of the software converts to the Apache 2.0 license 4 years from the date that version is first published.
Dual licensing is available for enterprise customers who require alternative license terms. Contact us for details.
The Services, including their design, features, documentation, trademarks, and all related intellectual property, are and remain the property of VerifyWise. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly set forth herein or in the applicable license.
You retain ownership of the Content you submit through the Services. By submitting Content, you grant VerifyWise a worldwide, non-exclusive, royalty-free license to use, store, process, and display your Content solely as necessary to provide and improve the Services. For on-premises deployments, your Content remains entirely within your infrastructure and VerifyWise does not access or process it.
You are solely responsible for the accuracy, content, and legality of all Content you submit through the Services.
Each party agrees to protect the other party's confidential information from unauthorized use, access, or disclosure using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party without restriction; (c) is independently developed by the receiving party; or (d) is rightfully received from a third party without restriction.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
A Data Processing Agreement (DPA) is available upon request for enterprise customers who require one.
Certain features of the Services require payment of fees. If you subscribe to a paid plan:
All fees are exclusive of applicable taxes, including VAT, sales tax, and other government-imposed charges. You are responsible for paying all such taxes, except for taxes based on VerifyWise's net income.
The trial version of the Services is provided at no charge with limited features for evaluation purposes. VerifyWise reserves the right to modify, limit, or discontinue the trial at any time without notice. Trial accounts may have reduced support, no service level commitments, and Content submitted during the trial may be deleted if you do not upgrade to a paid plan.
You may terminate your Account at any time by contacting us at hello@verifywise.ai or through the Account settings in the Services. Termination does not entitle you to a refund of any prepaid fees.
We may suspend your access to the Services (or any part thereof) if we reasonably believe you have violated these Terms, if your use poses a security risk, or if required to comply with applicable law. We will use reasonable efforts to notify you prior to any suspension and to restore access promptly once the issue is resolved.
We may terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law.
Upon termination of a cloud-hosted Account, we will retain your Account and Content for 30 days to allow recovery, after which it may be deleted, unless legal obligations require longer retention. For trial accounts, Content may be deleted immediately upon termination or inactivity. For on-premises deployments, you are responsible for removing the software and any associated data from your infrastructure. We are not liable to you or any third party for any termination of your access to the Services. Sections that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, indemnification, and limitations of liability.
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, VerifyWise disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Services at your own risk.
To the maximum extent permitted by applicable law, in no event shall VerifyWise, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the Services, regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (USD $100), whichever is greater. Any claim arising out of or relating to these Terms must be filed within one (1) year after the cause of action accrues, or it shall be permanently barred.
You agree to indemnify, defend, and hold harmless VerifyWise and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute in good faith through informal negotiation for a period of at least 30 days. If the dispute cannot be resolved informally, it shall be resolved exclusively in the courts located in London, England, and you consent to the personal jurisdiction of such courts.
The Services may integrate with or contain links to third-party websites, services, or APIs. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
VerifyWise shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, or labor disputes.
The failure of VerifyWise to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by VerifyWise.
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of VerifyWise. VerifyWise may assign these Terms freely, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
All notices under these Terms shall be in writing and shall be deemed given when delivered by email to hello@verifywise.ai for notices to VerifyWise, or to the email address associated with your Account for notices to you.
You agree to comply with all applicable export and import control laws and regulations, including without limitation the United States Export Administration Regulations and sanctions programs administered by the Office of Foreign Assets Control. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the provision of the Services would be prohibited by applicable law.
The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties.
Each party represents that it has not and will not offer, promise, or pay any bribe or kickback, nor accept the same, in connection with these Terms. Both parties agree to comply with the UK Bribery Act 2010, the US Foreign Corrupt Practices Act of 1977, and any equivalent anti-corruption requirements in other applicable jurisdictions.
The following sections shall survive the expiration or termination of these Terms: Sections 2 (Definitions), 7 (Licensing), 8 (Intellectual property), 9 (Confidential information), 10 (Data privacy), 13 (Disclaimer of warranties), 14 (Limitation of liability), 15 (Indemnification), 24 (Anti-corruption), and any other sections that by their nature should survive.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
These Terms, together with our Privacy Policy and any additional agreements you may enter into with VerifyWise (including any Data Processing Agreement), constitute the entire agreement between you and VerifyWise regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
